Material Fact – Decisions of the Debenture Holders´ Meeting

Material Fact

São Paulo, June 28, 2017. Contax Participações S.A. (“Contax” or “Company”; CTAX3), pursuant to article 157, paragraph 4 of Law 6404, of December 15, 1976, as amended, and CVM Instruction 358/2002, hereby informs its shareholders, investors and the market in general, further to the material facts disclosed by the Company on March 23, 2017, May 19, 2017, June 5, 2017, June 19, 2017 and June 24, 2017, that, on this date, the debenture holders’ meetings of the 1st and 2nd series of the 1st debenture issue and of the 3rd debenture issue were reinstalled and, due to the Company’s proposal and the agreement of the debenture holders of said issues, the meetings were suspended to allow the continuity of the negotiations with the debenture holders.

Said debenture holders’ meetings are scheduled to be reinstalled on August 8, 2017, in the same venue previously disclosed, when the holders of said debenture issues will resume the resolutions on the topics provided for in the call notice and management proposal disclosed by the Company.

The Company will keep its shareholders, investors and the market in general informed about the matters in this material fact
