Change in the Board of Directors and Comittee Composition
São Paulo, January 05, 2017 CONTAX PARTICIPAÇÕES S.A., headquartered at Av. Paulista, 407 and 423, 8th floor, Bela Vista, CEP 01311-000, São Paulo, SP, enrolled under the Corporate Taxpayer‘s ID (CPNJ/MF) No. 04.032.433/0001-80 (“Contax” or “Company”), pursuant to the stipulations of CVM Instruction No. 480/2009, as amended (“CVMI 480/09”), hereby announces to its shareholders, investors and to the market in general that the Board of Directors, at an extraordinary meeting held today, approved the election of Mrs. Lívia Xavier de Mello, as Chairman of the Board of Directors, replacing Mr. Shakhaf Wine, who has resigned from the position as effective member and Chairman of the Board of Directors and from the positions he occupied in the Statutory Advisory Committees of the Board of Directors (“Committees”).
The Board of Directors, at the same meeting, also approved the election of the Board Member, Mr. Cleber Pereira de Morais as member of the People Committee and the amendment of the Rules of the Board of Directors and the Rules of the Committees to adjust the frequency of regular meetings, which will be held at least once every quarter.
With the resignation of Mr. Shakhaf Wine and the election of Mr. Cleber Pereira de Morais, the Committees now have the following composition:
a. Financial Committee: Márcio Adolpho Girão Barros Quixadá; Fábio Soares de Miranda Carvalho; Marcel Paes Machado de Andrade, Matias Ezequiel Aron;
b. Audit, Risk Management and Compliance Committee: Lívia Xavier de Mello, Marcel Paes Machado de Andrade and Márcio Adolpho Girão Barros Quixadá;
c. People Committee: Lívia Xavier de Mello, Cleber Pereira de Morais and Matias Ezequiel Aron;
d. Strategic Operational Committee: Cleber Pereira de Morais, Fábio Soares de Miranda Carvalho; Marcel Paes Machado de Andrade e Matias Ezequiel Aron.
