B3 notification on Penny stocks

MATERIAL FACT

São Paulo, May 16, 2019. Liq Participações S.A. (“Company”; LIQO3), in accordance with CVM Instruction 358/2002, hereby informs its shareholders, investors and the market in general that, on May 16, 2019, received the Official Letter 304/2019-SLS from the B3 Listing Superintendence and Issuers Supervisor, where it notifies that during the period from 04/01/2019 to 05/14/2019, its common shares remained quoted below R$ 1.00 for 30 consecutive trading sessions.

Pursuant to item 5.2.f of the Listing Rules of Issuers and Admission to Trading Securities (Regulation) and items 5.1.2 (vi) and 5.2 of the Issuer Manual, the quotation of shares admitted to trading on B3 must be maintained in an amount equal to or greater than R$ 1.00 per share. B3 has established the deadline up to May 31, 2019 for the Company to release procedures and schedule, and, until November 18, 2018, or until the date of the first General Meeting held after receipt of this notification, what happens first, to take the appropriate measures to set the quotation of its shares above the minimum value established.
