MATERIAL FACT

São Paulo, December 21, 2015. Contax Participações S.A. (“Contax” or “Company”; CTAX11; CTAX3 and CTAX4), in accordance with article 157, paragraph 4, of Law 6404, of December 15, 1976 (“Brazilian Corporation Law”), and CVM Instruction 358/02, hereby informs its shareholders and the market in general that, on December 21, 2015, the Company installed and suspended the meeting of the holders of the Company’s 2nd debenture issue and installed and gave continuation to the meetings of the holders of the Company’s 1st and 3rd debenture issues.

I. Meeting of the Holders of the Company’s 1st Debenture Issue

The meeting of the holders of the Company’s 1st debenture issue approved to extend the maturity of the installments related to the principal and interest of the 1st and 2nd
series of such issue, from December 22, 2015 to January 20, 2016. The meeting of the holders of the Company’s 1st debenture issue is still being held and as soon as it
is concluded, the Company will disclose the resolutions taken in such meeting.

II. Meeting of the Holders of the Company’s 2nd Debenture Issue

Upon the Company’s proposal and the agreement of the holders of said debenture issue, the meeting of the holders of the Company’s 2nd debenture issue was suspended, to be reinstalled on January 15, 2016, in the same venue and at the same time previously disclosed, when the holders of said debenture issue will resume the resolutions on the topics provided for in the Company’s management proposal.

III. Meeting of the Holders of the Company’s 3rd Debenture Issue

The meeting of the holders of the Company’s 3rd debenture issue was installed and it is still being held. As soon as it is concluded, the Company will disclose the resolutions taken in such meeting.
